Terms of Service

These Terms of Service govern your access to and use of the GroundOps website, mobile applications, and related services. Please read them carefully.

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and GroundOps Kenya Ltd. ("GroundOps", "we", "us", or "our"), which operates the GroundOps platform. By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. Definitions

  • "Client" — a user who requests and pays for tasks or services.
  • "Agent" — an independent service provider who accepts and performs tasks.
  • "Task" — an errand, service, or job booked through the Services.
  • "Platform" or "Services" — the GroundOps website, mobile apps, and related services.
  • "Proof of Work" — photos, videos, and related data submitted to evidence task completion.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. By using the Services, you represent that you meet these requirements and that the information you provide is accurate and complete.

4. Accounts & Security

To use most features you must create an account. Login is protected by a one-time passcode (OTP), and agent accounts are additionally protected by device-approval controls. You are responsible for keeping your credentials and device secure and for all activity under your account. Notify us immediately of any unauthorised use.

5. The Service

GroundOps provides a platform that connects Clients with Agents to arrange managed errands, property care, relocation, and diaspora support services. GroundOps facilitates discovery, booking, communication, proof of work, and payment between Clients and Agents. Except where we expressly state otherwise, GroundOps is not the provider of the underlying task and acts as an intermediary that enables these arrangements.

6. Bookings, Tasks & Contracts

Clients submit task details and requirements through the Services. A booking is confirmed once accepted and (where applicable) paid for in accordance with Section 7. Some engagements may be formalised as ongoing contracts. You agree to provide accurate task information and to cooperate so the task can be performed safely and lawfully.

7. Fees & Payments

  • Fees for a Task are shown before you confirm a booking. By confirming, you authorise the applicable charges.
  • Payments are processed by our partners Stripe and M-Pesa (Safaricom). GroundOps may collect a platform or service fee.
  • Funds may be held until a Task is marked complete and/or approved, after which payouts are released to the Agent.
  • You are responsible for any taxes associated with your use of the Services, except taxes on our income.

8. Cancellations, Refunds & Disputes

Cancellation and refund eligibility depends on the status of the Task and any applicable cancellation terms shown at booking. If you are dissatisfied with a Task, you may raise a dispute through the Services. GroundOps may review proof of work, communications, and other relevant information to help resolve disputes, and may issue refunds or adjustments at its reasonable discretion.

9. Agent Terms

  • Agents are independent contractors, not employees or partners of GroundOps.
  • Agents must complete identity/business verification (KYC/KYB) and keep their information current.
  • Agents must perform Tasks competently, lawfully, and professionally, and submit accurate proof of work.
  • Agents are responsible for their own taxes, licences, equipment, and compliance with applicable laws.

10. Client Terms

  • Provide accurate, lawful, and complete task instructions and access where required.
  • Only request Tasks that are legal and safe to perform.
  • Pay for confirmed Tasks and review/approve completed work promptly.
  • Treat Agents respectfully and comply with applicable laws.

11. Proof of Work & Ratings

Agents may be required to submit proof of work (such as photos or videos, which may include time and location metadata). Clients and Agents may rate and review each other. Reviews must be honest and must not contain unlawful, abusive, or misleading content. We may remove content that violates these Terms.

12. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose.
  • Circumvent payments or solicit users to transact outside the Platform to avoid fees.
  • Impersonate others, provide false information, or misuse another user's account.
  • Upload malware, attempt to gain unauthorised access, or disrupt the Services.
  • Harass, threaten, or discriminate against other users.
  • Infringe the intellectual property or privacy rights of others.

13. Intellectual Property

The Services, including the GroundOps name, logos, software, and content, are owned by GroundOps or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You retain ownership of content you submit but grant us a licence to use it as needed to operate and improve the Services.

14. Third-Party Services

The Services integrate third-party providers (including Google Firebase, Stripe, and M-Pesa). Your use of those services may be subject to their own terms and policies. We are not responsible for third-party services we do not control.

15. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. GroundOps does not guarantee that the Services will be uninterrupted, error-free, or secure. GroundOps is not responsible for the acts, omissions, quality, or conduct of Clients or Agents in connection with a Task, except to the extent required by law.

16. Limitation of Liability

To the maximum extent permitted by law, GroundOps and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Services. To the extent liability cannot be excluded, our total liability for any claim is limited to the greater of the amount you paid to us for the relevant Task or KES 10,000.

17. Indemnification

You agree to indemnify and hold harmless GroundOps from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party right.

18. Suspension & Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or for any other lawful reason. Provisions that by their nature should survive termination (including payment obligations, disclaimers, and limitations of liability) will continue to apply.

19. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law rules. The courts of Nairobi, Kenya have jurisdiction over any dispute, subject to any mandatory consumer-protection rights you may have. The parties will first attempt to resolve disputes amicably and in good faith.

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the Services. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
